1. Contracting parties

This agreement is entered into between WEBBERSHIP SRL, a limited-liability company registered in Romania, with its registered office in Timișoara (hereinafter "Webbership" or the "Provider"), and the individual or legal entity that registers and uses the Webbership platform (hereinafter the "Customer").

By creating an account and using the platform, the Customer fully accepts these Terms of Service.

2. Service description

Webbership provides a SaaS (software-as-a-service) platform for managing loyalty programmes through digital cards compatible with Apple Wallet and Google Wallet. The platform includes:

  • An administration dashboard for creating and managing loyalty cards
  • Issuing and updating cards in customers' digital wallets
  • Recording and tracking stamps/loyalty points
  • Sending wallet notifications and broadcast messages to Members who saved a card
  • A custom subdomain and white-label options
  • Access to aggregated usage statistics

Webbership acts as a processor on behalf of the Customer with regard to the processing of Member (end-user) data within the loyalty programme.

3. Free trial

Upon registration, the Customer receives a 30-day free trial with access to all platform features. No payment card details are required to activate the trial.

When the trial period expires, the account will be automatically suspended if a paid subscription has not been activated. Data is retained for 30 days after suspension, after which it is deleted.

4. Subscription and payment

The standard Webbership plan costs €19/month. With annual billing, the Customer pays €190/year for the base location: 10 paid months and 2 free months.

Payments are processed by Viva Wallet, a payment service provider authorised by the Bank of Greece and regulated by the European Central Bank. Webbership does not store payment card data.

Billing occurs monthly or annually, in advance, on the subscription anniversary date. In the event of a failed payment, the Customer will be notified and will have 7 days to resolve the issue, after which the account will be suspended.

Additional locations beyond the first location included in the subscription are billed separately, in accordance with the rates published on the pricing page.

5. Cancellation and termination

The Customer may cancel their subscription at any time from the administration dashboard. Cancellation takes effect at the end of the current billing period — no proportional refunds are issued for unused periods.

Webbership may terminate the agreement with immediate effect if the Customer:

  • uses the platform fraudulently or illegally;
  • sends spam or unsolicited messages to Members;
  • infringes the intellectual-property rights of third parties;
  • fails to pay outstanding invoices within the grace period.

6. User obligations

The Customer agrees to:

  • provide accurate information at registration and keep it up to date;
  • maintain the confidentiality of access credentials and immediately notify Webbership of any unauthorised access;
  • use the platform exclusively for lawful purposes and in compliance with the GDPR in its relationship with its own customers (Members);
  • not resell, sublicense, or redistribute access to the platform;
  • obtain Members' consent for the processing of their data within the loyalty programme;
  • ensure it has a lawful basis (including consent where required) before sending promotional or marketing notifications to Members.

7. Limitation of liability

Webbership provides the platform on an "as-is" basis and makes reasonable efforts to maintain service availability. We do not guarantee a specific service level (SLA) beyond a best-efforts commitment.

Webbership's total liability to the Customer, regardless of the cause of action, shall not exceed the amount paid by the Customer in the last 3 months of subscription. Webbership is not liable for indirect damages, loss of profit, or consequential damages.

8. Changes to terms

Webbership may amend these Terms of Service with at least 30 days' notice, communicated by email to the address associated with the account. Continued use of the platform after the effective date constitutes acceptance of the new terms.

Applicable law is Romanian law. Any dispute shall be resolved amicably or, failing that, by the competent courts of Timișoara, Romania.
